Company, with a capital stock of �30,000, divided in 300,000 shares of the
par value of IO cents each,, e,nd to give to each of the present stockholde-;
the same number of shares that stood to each of them on the present com
pany's books, and to pay the present indebtedness by the issue of certifi
cates of stock based on the value of the shares under the old incorporatin
and that the present officers be named as the officers to hold office
until the next regular election
And be it further resolved, That the President and Secretary be
authorized, and instructed tom execute a deed
conveying to the new com
pany the mining claims now embracing the capital of the present company
to-wit:- "The Old General Grant", "The Barclay Mine"�'The McKinley Mine"
"The Clark Mine", "The Morrison Mine", "The Oyama M.ile 11 , "The Kuroki M.inag''
Claims One and Two","The Rob Roy Mining Claim", "The Liaoyang"?The Brad"
The Apex" and the "Floral Mining Claim.s" and the General Grant Mill ~site
and Water Right/"
The above resolution wae unanimously carried.
The presedent stated that under the laws the only po\irer we had
under the old company was to close up the business, and as far al!! he knew
this was attended
to, and should there be no other business necessary
this would wind up the affairs of the old company, and that steps would be
taken to perfect a new corporation.
Meeting adjourned.
